Our client, a multi-state operator in the cannabis industry, is seeking an experienced Intellectual Property (IP) Attorney to work under the direction of the VP of Legal and Business Affairs to provide legal support to their business. The IP Attorney will review intellectual property policies and procedures, liaise with the cultivation and products team to build SOP’s, and perform IP due diligence for M&A’ with respect the cannabis industry.

  • Preparing, reviewing, and negotiating company contracts, requests for proposals and other legal documents 
  • Provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary. 
  • Negotiating and drafting IP contractual and licensing terms and conditions
  • Lead and support the development of IP infrastructure 
  • Developing the organization's policies on industry-specific issues, corporate governance, or regulatory affairs 
  • Serves as a legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures 
  • Drafting, negotiating, interpreting, and advising on IP related agreements, such as patents, license agreements, manufacturing agreements and supply agreements
  • Assist business and legal team on non-patent IP such as patent, trade secrets, and designs while assisting outside counsel with registration
  • Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
  • Minimum of 7-10 years' experience in a law firm environment, working on matters of Intellectual Property law, corporate 
  • Experience working in a highly regulated industry, such as agribusiness or biotechnology
  • Juris Doctorate Degree required from an accredited school, admitted to the bar 
  • Familiarity and understanding of Sarbanes-Oxley (SOX) and legislation and related FASB revenue recognition guidelines 
  • Broad, overview experience in intellectual property law, including patent law, licensing of IP rights and IP due diligence 
  • Excellent judgement and attention to detail while handling confidential documents
  • Talent for thinking outside the box to develop new approaches to old issues
COMPENSATION: $160,000 with benefits
